Terms and Conditions

These Terms and Conditions govern your access to and use of PAI (Personal AI Assistant), including our website, SMS-based assistant service, account features, calendar integrations, reminders, shopping lists, subscriptions, and related services.

1. Acceptance of Terms

By using PAI, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

If you use PAI on behalf of another person or organization, you represent that you have permission to do so and that they agree to these Terms.

2. Eligibility

You must be at least 13 years old to use PAI.

If you are under the age of majority where you live, you may use PAI only with permission from a parent or legal guardian. By using the Service, you represent that you meet these requirements and that the information you provide is accurate.

3. Account Registration

You may need to create an account or provide information such as your name, email address, phone number, authentication details, payment information, or permission to connect third-party services.

You agree to provide accurate information and keep it up to date. We may reject, suspend, or terminate an account if information appears inaccurate, incomplete, fraudulent, or unsafe.

4. Account Security

You are responsible for keeping your account, phone, email, login credentials, and connected services secure.

You are responsible for activity that occurs through your account or phone number, even if someone else uses it. Tell us promptly if you believe your account has been compromised.

5. SMS Communications

PAI is a text-message-based assistant. By providing your phone number and opting into SMS, you agree to receive text messages from PAI, including assistant responses, reminders, scheduling messages, account messages, service notices, and other operational messages.

Message frequency varies based on how you use the Service. Message and data rates may apply. You can reply STOP to opt out of SMS messages and HELP for help.

SMS delivery is not guaranteed. Carriers, device settings, outages, filtering systems, and other factors may delay, block, or prevent messages. PAI is not responsible for missed, delayed, blocked, or failed SMS delivery.

PAI is not an emergency service. Do not use PAI to contact emergency services or to send, receive, or rely on urgent safety information.

6. Subscription Billing

Some features require a paid subscription or other paid plan. By purchasing a subscription, you authorize PAI or our payment processor to charge the payment method you provide for recurring fees, taxes, and other charges shown at checkout.

Subscription fees are billed in advance unless stated otherwise. Payments are non-refundable except where required by law or expressly stated by PAI.

We may change pricing, plan features, or billing terms. When required, we will provide notice before changes take effect.

7. Free Trials

PAI may offer free trials, promotional credits, or beta access. Trial terms may vary and may end at any time.

If a trial converts to a paid subscription, you authorize us or our payment processor to charge your payment method when the trial ends unless you cancel before the conversion date.

We may limit, revoke, or modify free trials to prevent abuse or for any other lawful reason.

8. Assistant Capabilities

PAI can help with everyday assistant tasks, including creating reminders, retrieving reminders, updating reminders, deleting reminders, creating calendar events, retrieving calendar events, updating calendar events, deleting calendar events, maintaining shopping lists, and generating assistant responses.

PAI may interpret your text messages and take actions based on those messages. You are responsible for reviewing requests, responses, reminders, lists, calendar events, and other outputs.

Features may change, improve, break, or be discontinued at any time.

9. Calendar Integrations

If you connect Google Calendar or another calendar service, you authorize PAI to access and use calendar information as needed to provide the calendar features you request.

Calendar actions may create, modify, reschedule, or delete events. PAI may misunderstand a request, process the wrong date or time, update the wrong event, duplicate an event, fail to save an event, or fail to delete an event.

You remain responsible for reviewing your calendar and confirming that events, times, guests, locations, and details are correct. Do not rely on PAI as your only calendar record for important events.

Third-party calendar services may change or become unavailable. PAI is not responsible for outages, sync delays, permission issues, API changes, or errors caused by calendar providers.

10. Reminder Services

PAI can create, retrieve, update, delete, and send reminders. Reminder delivery is not guaranteed.

Reminders may be late, early, incomplete, duplicated, blocked, or not delivered. You are responsible for tracking important deadlines, obligations, appointments, medications, payments, travel, and other time-sensitive matters outside of PAI.

Do not rely on PAI reminders for emergencies, medical care, safety-critical tasks, legal deadlines, tax deadlines, financial decisions, or other high-risk uses.

11. Shopping List Features

PAI may help create, retrieve, update, and delete shopping lists or similar lists.

You are responsible for checking list contents before purchasing items or relying on them. PAI may add the wrong item, omit an item, duplicate an item, misunderstand quantities, or fail to update a list.

12. User Responsibilities

You are responsible for how you use PAI and for any information, instructions, or content you provide.

You agree to review important outputs, calendar changes, reminders, shopping lists, and assistant responses before relying on them.

You are responsible for complying with laws, third-party terms, workplace rules, school rules, and any obligations that apply to your use of the Service.

13. Acceptable Use

You may not use PAI to break the law, violate others' rights, harass or threaten people, send spam, commit fraud, impersonate anyone, distribute malware, scrape or overload systems, bypass security, or interfere with the Service.

You may not use PAI to create or send unlawful, harmful, deceptive, abusive, sexually exploitative, discriminatory, or privacy-invasive content.

You may not resell, copy, reverse engineer, or misuse the Service except as allowed by law or with our written permission.

14. AI Limitations

PAI uses automated systems and AI providers to understand requests and generate responses. AI outputs may be inaccurate, incomplete, outdated, offensive, or unsuitable for your situation.

You must verify important information before relying on it. PAI should not be used for medical, legal, tax, financial, emergency, safety, or other high-stakes decisions.

PAI does not provide professional advice. Any assistant response is for general convenience and productivity purposes only.

15. Beta Features

Some features may be labeled beta, experimental, early access, preview, or may otherwise be new and evolving.

Beta features may contain errors, produce unexpected results, lose data, change without notice, or stop working at any time. We may add, remove, limit, or change beta features at any time.

16. Third-Party Services

PAI may depend on third-party services such as SMS carriers, telecommunications providers, Google Calendar, authentication providers, payment processors, hosting providers, analytics providers, and AI providers.

Your use of third-party services may be governed by their own terms and privacy policies. PAI is not responsible for third-party products, outages, delays, errors, security incidents, API changes, or data practices.

17. Intellectual Property

PAI and its software, designs, trademarks, logos, text, interfaces, workflows, and other materials are owned by PAI or our licensors.

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Service except as allowed by law or with our written permission.

18. User Content

You keep ownership of the messages, instructions, calendar information, reminders, shopping list items, feedback, and other content you provide to PAI.

You grant PAI a limited license to host, process, transmit, display, modify, and use your content as needed to operate, secure, support, and improve the Service and to provide features you request.

You represent that you have the rights needed to provide your content and that your content does not violate the law or the rights of others.

19. Feedback

If you send us suggestions, ideas, requests, or other feedback, you allow us to use that feedback without restriction or compensation to you.

We are not required to treat feedback as confidential.

20. Service Availability

We do not guarantee that PAI will be available, accurate, secure, or uninterrupted.

The Service may be delayed, unavailable, degraded, or discontinued because of maintenance, updates, carrier issues, third-party outages, internet problems, security issues, or other reasons.

Features may change at any time, including reminders, calendar tools, shopping lists, SMS behavior, assistant capabilities, subscription plans, and beta functionality.

21. Suspension and Termination

You may stop using PAI at any time. You may also request account deletion as described in our Privacy Policy.

We may suspend or terminate your access at any time if we believe you violated these Terms, created risk for PAI or others, failed to pay fees, misused the Service, or used the Service in a way that may cause legal, security, operational, or reputational harm.

After suspension or termination, some provisions will still apply, including sections about intellectual property, user content, disclaimers, limitation of liability, indemnification, disputes, and any payment obligations owed.

22. Disclaimer of Warranties

PAI is provided "as is" and "as available."

To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, and security.

We do not promise that PAI will meet your needs, produce accurate results, deliver messages or reminders, preserve data, or operate without errors or interruptions.

23. Limitation of Liability

To the fullest extent permitted by law, PAI and its owners, employees, contractors, affiliates, service providers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, missed reminders, missed calendar events, failed SMS delivery, business interruption, or substitute services.

To the fullest extent permitted by law, PAI's total liability for any claim relating to the Service or these Terms will not exceed the amount you paid to PAI for the Service during the 12 months before the event giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability, so some limits may not apply to you.

24. Indemnification

You agree to defend, indemnify, and hold harmless PAI and its owners, employees, contractors, affiliates, service providers, and licensors from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from your use of the Service, your content, your violation of these Terms, your violation of law, or your violation of another person's rights.

25. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict of law rules.

26. Dispute Resolution

Before filing a claim, you agree to contact us and try to resolve the dispute informally.

If we cannot resolve the dispute informally, any dispute arising out of or relating to these Terms or the Service will be resolved individually through binding arbitration, except where the law does not allow arbitration or where either party seeks relief in small claims court.

You and PAI waive the right to participate in a class action, class arbitration, or representative action to the fullest extent permitted by law.

27. Changes to Terms

We may update these Terms from time to time. When we do, we will update the effective date and post the revised Terms.

If changes are material, we may provide additional notice, such as through the website, account page, SMS, or email. Your continued use of PAI after updated Terms become effective means you accept the updated Terms.
